The first step in participating in the pooled fund is to complete and return the Participant Acknowledgement Agreement.

Once received, along with your investment, it will be counter-signed and a copy returned to you, along with copies of the agreements forming the pooled fund.

The Participant Acknowledgement Agreement can be sent by email to info@parteqangelnetwork.com, by fax to 613-533-6853, or by mail to c/o PARTEQ Innovations, Biosciences Complex, Room 1625, Queen’s University, Kingston, ON, K7L 3N6.

Investment funds can be paid by either cheque, bank draft, or electronic transfer.  Please contact us for details for electronic transfer.

 

The Participant Acknowledgement Agreement makes reference to other documents, listed below.  A copy of these documents will be provided to you when the counter-signed copy of the Participant Acknowledgement Agreement is returned to you.  You should be familiar with these documents, but your signature on them is not required.  You should have also read the Offering Memorandum before investing.

The Network Agreement governs the terms of your investment, how the escrow account holding your uninvested cash will be managed, how your investment will be invested,  how the pooled fund will operate.

Advisor Letter

 


The Advisor Letter documents the terms and conditions of the services being rendered by PARTEQ to the PARTEQ Angel Network Fund Inc., the manager of the pooled fund.

PARTEQ Angel Network SPLP # Limited Partnership Agreement

Each investment made by the pooled fund will be made using a special purpose limited partnership.  Funds will be transferred from the escrow account to a newly created SPLP, which will then invest the funds into the designated investee company.  As a result of using the SPLP vehicle, investors in the pooled fund will end up exchanging their units in PARTEQ Angel Network Fund Inc. to units of designated SPLPs as investments are made.

As this agreement will only be entered into upon an investment being made, the current version for reading is only available in draft form.
